By accessing or using our website located at rootsrealty.co (the "Site"), submitting any form, downloading any resource, or engaging with any of our services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Site and all related services.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, INCLUDING MANDATORY ARBITRATION, CLASS ACTION WAIVER, AND LIMITATIONS ON LIABILITY.

The Site serves as an informational and marketing platform to connect prospective clients with our licensed real estate agents.

3. Form Submissions and Communications

3.1 Consent to Contact

By submitting any form on this Site—including but not limited to consultation requests, resource downloads, newsletter sign-ups, or contact forms—you expressly consent to receive communications from Roots Real Estate Co. Inc. and its affiliated agents via:

  • Email to the address you provide

  • Telephone calls to the number you provide

  • SMS/text messages to the mobile number you provide

  • Direct mail to the address you provide

3.2 Purpose of Communications

Communications may include, without limitation:

  • Agent outreach to discuss your real estate needs

  • Appointment confirmations and reminders

  • Property listings and market updates

  • Educational content and newsletters

  • Invitations to Roots Realty Co. events

  • Follow-up communications related to your inquiry

3.3 Opt-Out Rights

You may opt out of marketing communications at any time by clicking the unsubscribe link in any email, replying STOP to any text message, or contacting us directly at tyler@tylerlingle.com. Opting out of marketing communications does not affect transactional or service-related messages.

3.4 No Guarantee of Response Time

We do not warrant that property listings are accurate, available, or priced correctly. Real estate markets are inherently volatile; past performance of properties, neighborhoods, or investments does not guarantee future results.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. No Liability for Damages. Roots Real Estate Co. Inc., its officers, directors, employees, agents, affiliates, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages of any kind arising out of or related to your use of, or inability to use, the Site, any content, any third-party tools, or any services, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

  2. Cap on Aggregate Liability. In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or the Site exceed the greater of: (a) one hundred dollars ($100.00 USD); or (b) the total amount you have paid to Roots Real Estate Co. Inc. in the twelve (12) months immediately preceding the event giving rise to the claim.

  3. Essential Basis of Bargain. You acknowledge and agree that these limitations of liability are an essential element of the bargain between you and Roots Real Estate Co. Inc., and that we would not provide the Site or services without such limitations.

7. Assumption of Risk

You expressly acknowledge and agree that your use of the Site, reliance on any content, and any real estate or investment decisions you make are entirely at your own risk. Real estate transactions involve inherent risks including but not limited to market fluctuations, property defects, title issues, financing challenges, and economic uncertainty.

8. Indemnification

You agree to indemnify, defend, and hold harmless Roots Real Estate Co. Inc., its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of the Site or any content thereon

  2. Your violation of these Terms

  3. Your violation of any applicable law, rule, or regulation

  4. Your violation of any third-party rights, including intellectual property or privacy rights

  5. Any content or information you provide through the Site

9. Dispute Resolution and Binding Arbitration

9.1 Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. You and Roots Real Estate Co. Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any services (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring individual claims in small claims court if the claims qualify.

9.2 Arbitration Rules and Procedures

Arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in Marion County, Indianapolis, Indiana, unless the parties mutually agree otherwise. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

9.3 Class Action Waiver

YOU AND ROOTS REAL ESTATE CO. INC. AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

9.4 Jury Trial Waiver

YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS.

9.5 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

10. Third-Party Services and Links

The Site may contain links to, or integrations with, third-party websites, services, or platforms, including but not limited to Zenlist, Calendly, Google Drive, Canva, and various lender or inspector websites. These third-party services are not owned or controlled by Roots Real Estate Co. Inc. We are not responsible for the content, privacy practices, terms of service, or actions of any third party. Your use of third-party services is at your own risk and subject to that third party's terms and policies.

11. Intellectual Property Rights

All content on this Site—including but not limited to text, graphics, logos, images, guides, blog posts, videos, and software—is the exclusive property of Roots Real Estate Co. Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without our prior written consent.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. If the arbitration agreement in Section 9 is found unenforceable, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Marion County, Indiana, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Roots Real Estate Co. Inc. regarding your use of the Site and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

15. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Roots Real Estate Co. Inc.
